These Terms & Conditions govern your use of the zivantoes website and the basis on which we provide legal advisory services. Please read them carefully. If any section raises questions, we are happy to clarify before you engage with us.

1. Definitions

Throughout these Terms & Conditions, the following terms carry the meanings given below:

  • "zivantoes", "we", "us", "our" refers to the legal advisory firm operating under the zivantoes name, located at 16 Raffles Quay, #41-08, Singapore 048581.
  • "Website" means the website accessible at zivantoess.live and all associated pages.
  • "Services" means the legal advisory services offered by zivantoes, including Data Protection & Privacy Counsel, Franchise & Licensing Advisory, and Statutory Declaration Preparation.
  • "User", "you", "your" means any individual or entity accessing the Website or enquiring about our Services.
  • "Client" means a person or organisation that has entered into a formal engagement with zivantoes.
  • "Engagement Letter" means the written agreement outlining the scope, fees, and terms of a specific advisory matter.
  • "Content" means all text, materials, documents, and information published on the Website.

2. Acceptance of Terms

By accessing the Website or submitting an enquiry, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy.

Our Services are available only to individuals aged 18 and over, or organisations acting through authorised representatives who have legal capacity to enter binding agreements under Singapore law.

If you are accessing the Website on behalf of an organisation, you represent that you are authorised to accept these terms on that organisation's behalf.

3. Description of Services

zivantoes offers legal advisory services in Singapore within the following practice areas:

  • Data Protection & Privacy Counsel: Compliance advisory under the PDPA, DPO consultancy, policy drafting, breach notification guidance, and staff training recommendations.
  • Franchise & Licensing Advisory: Counsel on franchise agreements, disclosure documents, territorial rights, trademark licensing, and compliance with the Singapore Code of Advertising Practice.
  • Statutory Declaration Preparation: Drafting and witnessing of statutory declarations for name changes, lost documents, immigration support, and related purposes.

Services are available within Singapore. Engagements involving cross-border elements will be assessed on a case-by-case basis. We do not offer litigation or court representation.

5. Client Engagement

A formal engagement with zivantoes begins when both parties have agreed in writing to the scope of work, fees, and terms outlined in an Engagement Letter. Submitting an enquiry or having a preliminary conversation does not constitute an engagement.

We reserve the right to decline any engagement where there is a conflict of interest, where the matter falls outside our practice areas, or for other professional reasons which we are not required to disclose.

Specific terms for individual engagements — including timelines, deliverables, and fee structures — are set out in the relevant Engagement Letter, which takes precedence over these general Terms & Conditions where there is any inconsistency.

6. User Responsibilities

When using our Website or engaging our Services, you agree to:

  • Provide accurate, complete, and current information when submitting enquiries or engaging our services
  • Notify us promptly if any information you have provided changes materially
  • Use the Website only for lawful purposes and in a manner consistent with applicable laws
  • Not attempt to disrupt, damage, or gain unauthorised access to the Website or any systems connected to it
  • Not submit false, misleading, or defamatory content through any communication channel

You are responsible for maintaining the confidentiality of any login credentials associated with any account or matter portal we may provide.

7. Intellectual Property

All content on the Website — including text, design, structure, graphics, and materials — is the property of zivantoes or its licensors and is protected by applicable intellectual property laws in Singapore.

You are granted a limited, non-exclusive, non-transferable licence to access and view Website content for personal or internal business purposes. You may not:

  • Reproduce, distribute, or republish Website content without prior written consent
  • Modify or create derivative works from our content
  • Use our name, logo, or branding without express written permission

Documents and materials prepared by zivantoes as part of an engagement remain our intellectual property until fees for that engagement are paid in full, at which point a licence to use them for the agreed purpose is granted to the Client.

8. Payment Terms

Fees for our Services are as set out in the relevant Engagement Letter. Indicative fee ranges are published on the Website for general guidance only and may vary based on the complexity and scope of each matter.

Payment

  • Invoices are payable within 14 days of issue unless otherwise agreed in the Engagement Letter
  • Payment is accepted by bank transfer or other methods confirmed in the Engagement Letter
  • Currency: Singapore Dollars (SGD)

Late Payment

  • We reserve the right to pause work on a matter if invoices remain unpaid beyond their due date
  • Interest on overdue amounts may be charged at a rate of 5% per annum from the due date

Refund Policy

  • Where work has not commenced on an engagement, fees paid in advance will be refunded upon written request
  • Where work is in progress, a proportionate fee reflecting work completed will be retained
  • Statutory Declaration fees are non-refundable once the declaration has been witnessed and certified

9. Confidentiality

We treat all information shared with us in the course of an engagement as confidential. We will not disclose client-specific information to third parties except as required by law, court order, or regulatory authority, or with your prior written consent.

Our confidentiality obligations do not apply to information that is or becomes publicly available through no fault of ours, or that we are required to report under applicable professional obligations.

We ask that clients also treat any proprietary methodologies, templates, or internal processes shared during an engagement as confidential.

10. Disclaimers

The Website and its content are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components.

Legal outcomes depend on many factors outside our control. Nothing in these Terms or our Website constitutes a representation that any particular outcome will be achieved in any legal matter.

We are not responsible for the accuracy or completeness of any third-party information referenced on our Website.

11. Limitation of Liability

To the extent permitted by Singapore law, zivantoes's aggregate liability to any Client or user for any claim arising from or related to these Terms, the Website, or our Services shall not exceed the fees paid by that Client for the specific engagement to which the claim relates.

We shall not be liable for any indirect, consequential, special, punitive, or incidental loss or damage, including loss of profits, business, data, or goodwill, even if we have been advised of the possibility of such loss.

These limitations do not apply to liability arising from our fraud, wilful misconduct, or gross negligence, or to any liability which cannot be excluded by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless zivantoes and its personnel from and against any claims, damages, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Website in a manner inconsistent with these Terms
  • Your provision of inaccurate or misleading information in connection with an engagement
  • Your breach of any applicable law or third-party rights

13. Termination

Either party may terminate an engagement by giving written notice, subject to any specific termination provisions in the Engagement Letter.

Upon termination, fees for work completed up to the date of termination remain payable. We will provide you with any completed work product that has been paid for.

We reserve the right to decline to continue an engagement in circumstances where continued engagement would breach applicable professional obligations, create a conflict of interest, or where instructions received are inconsistent with lawful purposes.

14. Governing Law and Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of Singapore.

In the event of a dispute, we encourage you to contact us first so that we can work toward a resolution informally. Most concerns can be addressed through a direct conversation.

If informal resolution is not possible, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore, unless both parties agree in writing to resolve the matter through mediation at the Singapore Mediation Centre.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable Engagement Letter, constitute the entire agreement between us regarding your use of the Website and our Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
  • Waiver: Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
  • Assignment: You may not assign rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor in connection with a change in our business structure.
  • Notices: Formal notices under these Terms should be sent to [email protected] or by post to our registered office address.

16. Changes to These Terms

We may update these Terms & Conditions from time to time. When changes are made, we will update the "Last updated" date at the top of this document.

If changes are material, we will make reasonable efforts to notify users — for example, through a notice on the Website. Continued use of the Website or our Services after updated Terms have been posted constitutes acceptance of those changes.
